Natixis Partners advised Euralis on the merger of its subsidiary Euralis Semences with Caussade Semences Group

On 19th June 2020, the shareholders of Euralis Semences and Caussade Semences Group signed a merger agreement between the two companies. The combined entity aims to become a key European player in seed production thanks to its complementarity, its multi-crops offer, and its network of producers and industrial tools in France and Europe. With a turnover of c. €350m and 2,000 employees, the new entity will join the top 10 Global Field Seed Companies with leading positions in certain crops and will be active on maize, sunflower, rapeseed, straw cereals, fodders, soya, sorghum and dried vegetables. In a competitive market, this merger will enable farmers in southwestern France to secure their production, pursue the necessary industrial and R&D investments (combined R&D expenses of c. €30m and 17 research stations) to develop their activities and thus strengthen their market positions. Euralis Semences and Caussade Semences Group operate 8 production sites in France, Romania, Ukraine, Spain, and soon in Russia, covering a total of 45,000 hectares This project, which began in July 2019, will take effect on 1st September 2020. The competition authorities of the four countries concerned (France, Romania, Ukraine, and Russia) have already issued favorable and unconditional opinion on this merger. Euralis Semences is a multi-strain seed company focusing on maize, sunflower, rapeseed, sorghum and soya. Euralis Semences is involved in all aspects of the supply chain (research, production and distribution), generated €210m revenue in 2019 and employs more than 1,300 people. Euralis Semences is the Seeds Division of the French cooperative group Euralis (12,000 farmers), major European player in the maize market and also active in the food industry (foie gras, cured meat and top delicatessen food). Euralis generated €1.4bn in 2019 and employs approximatively 5,000 people. Caussade Semences is a multi-species group involved in the development, production and distribution of seeds, mainly covering maize, sunflower, rapeseed, forage and protein crops. Caussade Semences employs 600 people and generated €145m revenue in 2018.
