Private: Natixis Partners advised the shareholders of Infra Group on the capital reorganization of the group, and the acquisition of a controlling stake by ICG

Natixis Partners advised the shareholders of Infra Group on its fourth LBO, with the acquisition of a majority stake by ICG. Andera Partners, the majority investor since 2019, reinvests significantly alongside ICG and the management team. Infra Group, based in Belgium, is a European leader in the design, construction and maintenance of essential infrastructure networks (electricity, telecom, water & sewage, gas & district heating, and public lighting) and complex earthmoving. Thanks to its multidisciplinary expertise, InfraGroup enjoyed strong organic growth in recent years. Coupled to a very active external growth strategy, that is part of its core model, Infra Group has gained significant market share across four European countries : Belgium, France, The Netherlands and Germany. The new shareholders want to accelerate Infra Group’s international build-up strategy and establish Infra Group as a consolidation platform of choice in the European market. The market of Infra Group is highly fragmented and enjoys excellent visibility thanks to medium/long term structural positive trends (under investment in essential infrastructure networks across Europe, growing digitalization & electrification of the economy, and ecological transition) and the implementation of various national and EU-wide recovery and resilience plans.
